Our Company, a third party administrator for automotive and insurance products & services is looking for an M&A Manager to join the team as soon as possible.
The key responsibilities of the role include:
• Researching market conditions and developments
• Devising M&A strategies, identifying sectors and groupings of companies that might be viable business targets for clients
• Conducting investigations into the financial and commercial state of companies subject to a particular transaction
• Carrying out financial modelling, then developing and presenting appropriate financial solutions to clients
• Working with corporate finance colleagues to provide advice on capital structure
• Project managing transactions, overseeing the negotiation of terms and developing proposals to raise funds
• Ensuring all the regulatory aspects of a transaction have been considered
• Identify strategic investment or divestment opportunities and communicate recommendations to Senior Management
• Lead transaction process, including coordination of internal working group, management of external consultants and advisors, due diligence process, etc.
• Build and maintain productive relationships with other corporate executives and business unit officers, with target company management teams, and with industry and professional networks that can assist in development initiatives
• Serve as primary project leader in capital raising (equity, equity-linked & debt)
• Identify and evaluate (both independently and in collaboration with business units), potential candidates for investment, acquisition or strategic partnership.
• Provide senior assistance in managing cross-functional teams for acquisition and divestiture processes including areas of due diligence (buy-side and sell-side), strategic fit, valuation, synergy identification, etc.
• Maintain complex/detailed financial and valuation models as appropriate
• Direct outside advisors and consultants to ensure proper financial diligence, legal review & documentation, tax structuring, etc.
• Direct and ensure overall execution of the comprehensive financial modelling and analyses for multiple complex project
• Analyze and recommend strategic rationale for vertical integration investments or divestments
