Job Objective
To ensure that Al Yamamah Steel Industries ("YSI") complies with all applicable
compliance regulations of the Capital Market Authority ("CMA") and Ministry of
Commerce & Industry ("MoCI") and internal controls implemented by the Firm's
management, and to foster a culture of compliance within YSI.
Duties and Key Responsibilities
Before the CMA Application File Submission:
1. Coordinate information gathering with advisors and address related pending
queries.
2. Ensure that advisors recommendations are communicated to YSI management,
related decisions are taken accordingly and actions are implemented.
After the CMA Application File Submission:
1. Ensure that CMA comments are communicated to YSI management
2. Ensure that information requested by advisors related to CMA comments is
received
3. Ensure that advisors address CMA comments
After the CMA IPO Approval:
1. Manage relationship with CMA including acting as primary contact point for all
CMA enquiries, managing and coordinating all visits by regulatory bodies and
overseeing submission of relevant compliance reports/notifications to external
bodies.
2. Prepare all YSI public announcements, in coordination with related
departments
3. Ensure that CMA continuous obligations are fulfilled by YSI
4. Provide advice and direction on compliance with interpretation of relevant
laws and regulations to all departments.
5. Provide regular monitoring of activities to discover deviations from the
corporate governance requirements and initiate corrective action for
avoidance of future breaches.
6. Establish a clear communication line with the management on compliance
issues and maintain proper record of such contacts.
7. Advise management on the need for suitable programs and controls based on
the periodical reviews.
8. Ensure that the compliance department is appropriately resourced.
9. Ensure the establishment, implementation, enforcement and maintenance of
the corporate governance manual and applicable policies and procedures.

on organizational requirements.
