Job Information & Purpose:
Reports to: Manager BD /Planning/ JV / M&A
Responsible to formulate and implement all Merger & Acquisition (M&A) and Joint Venture (JV) opportunities in line with Alwaseeta's strategic objectives. Also manages the overall M&A/ JV processes and reports/ seeks approval for targets from the senior management.
Duties and Responsibilities:
Develop strategy formulation and fit for purpose Joint Venture implementation model that reduce business risks through innovative Joint Venture contractual relationships.
Contributes to Alwaseeta strategic and business planning process by providing outside -in assessments, due- diligences and associated budget requirements on target M&A/ JV opportunities.
Represent and uphold Alwaseeta's brand image in all external platforms and projects as well as professional and industry forums
Develop and maintain the policies and procedures for the M&A/ JV management function and ensure its alignment with the overall business objectives
Responsible to identify, assess, prioritize and prepare a ready list of all M&A and JV opportunities in line with Alwaseeta's strategic objectives
Conduct outside-in assessments of shortlisted targets to evaluate the risks and exposures to Alwaseeta through defined evaluation criteria (viz; strategic fit, financial capability, technical capability, business model and governance, human resources capability)
Coordinate review of the assessment findings and go/ no-go decision along with approvals from senior management on pursuing any of the shortlisted targets
Conduct valuation and due diligence of approved/ shortlisted targets through internally or through external advisors/ management consultants.
Oversee due diligence of approved targets including hiring and managing advisors, reviewing due diligence findings, coordinating reviews and approvals from senior management, managing negotiations and post merger integration (PMI) planning.
Conduct JV/ M&A negotiations to ensure that agreements are of mutual benefit to the partners and to lessen the danger of conflicts in implementation.
Draft JV/ M&A agreements accounting for all partner expectations and commercial inputs are covered
Stay updated on relevant national, regional and international M&A/ JV activities.
Ensure proper controls are in place to effectively manage compliance with financial and legal terms of M&A/ JV agreements in the joint venture portfolio.
